News Release – MD Aviation

Kepler Aerospace Ltd. (“Kepler”) announces that it has signed an agreement to acquire, through its newly formed subsidiary, KeplerSpacecore Inc. (“KSC”) MD Aviation and all of its assets located in Sebastian, Florida.

February 11, 2019 – Sebastian, Florida – Kepler announces that it has signed an agreement to acquire MD Aviation and its CNC (Computer Numerical Control) Manufacturing Facility located in Sebastian, Florida for cash and shares.

Currently Operated by SpaceCore Inc. the Sebastian CNC facility is situated on 10 acres and is located just 35 minutes south of NASA headquarters at the Kennedy Space Center in Florida. The facility has a large, 5-axis overhead gantry CNC printer and milling machine that can basically build almost any shape out of any material. 5-axis machining refers to the machines ability to move a printer head or milling tool or any given part in five different axes simultaneously. Basic machining operates on three primary axes, X, Y and Z; however, a 5-axis CNC machining tool can rotate two additional axes, A and B, which give the printing or cutting tool a multidirectional approach. It is primarily used to create aircraft and other exotic vehicle parts out of a variety of exotic materials and can be driven by CAD-CAM capabilities. We currently have an ongoing contract with General Dynamics building submarine parts.

CNC printing and machining has changed the world of manufacturing. While milling machines, devices that use rotary cutters to cut material away from an unshaped material, have existed since the nineteenth century, the emergence of CNC technologies in the mid-twentieth century has made manufacturing and machining much faster and more accurate using a variety of materials. Today’sCNC machines, which use computers to control the movement of the printer or cutter are highly advanced pieces of equipment that allow manufacturers to create complex parts with extremely low tolerances, saving both time and money.

Kepler believes that the Sebastian Facility can operate as a stand-alone business while being able to offer and supply “in-house” manufacturing and engineering capability to Kepler, Kepler SpaceCore and its subsidiaries at a great cost savings. The management believes that the Sebastian Manufacturing Facility fills a necessary requirement of being able to quickly engineer and build spacecraft and spacecraft parts in the future.\
